Gli anni della crisi del sistema finanziario e bancario hanno prodotto un complesso articolato di riforme del settore che, a vario titolo, hanno inciso su tutti gli operatori di questo mercato: istituzioni, intermediari e investitori. Queste innovazioni hanno avuto un profondo impatto, causando costi non indifferenti, nel passaggio dal paradigma regolatorio previgente a quello disegnato dalle riforme. La disciplina delle obbligazioni bancarie rientra pienamente in questa prospettiva. Pur rimarcando la loro continuità con gli schemi classici del diritto civile e societario le peculiarità dell'attività dell'impresa bancaria, per ciò che concerne la sua organizzazione e il suo finanziamento, collocano il rapporto creditore-impresa in una prospettiva diversa e speciale. Il presente lavoro analizza le conseguenze prodotte dal complesso di disposizioni introdotte, prima con il pacchetto CRDIV-CRR e poi con la BRRD e il Regolamento (UE) n. 806/2014, che definiscono la collocazione sistematica delle obbligazioni bancarie.
